Terms of Service
This Service Agreement (the “Agreement”), is made between you (the "Client") and Warawords Co., Ltd. (“Warawords”), located at 1 Empire Tower, South Sathorn Road, Yannawa Subdistrict, Sathorn Distirct, Bangkok, 10120 on [Date].
Warawords has agreed to provide professional language services to the Client on the terms and conditions set out in this Agreement, while the Client is of the opinion that Company has the proper and necessary qualifications, experience and abilities to provide services to the Client.

Therefore in consideration of the matters described above, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and Warawords agree as follows:
1. Scope of Work

1.1 Warawords is to provide the Client with the language services (the “Services”) and any other tasks which the Customer and the Service Provider may agree on.

1.2 Before and during the project, the Client agrees to provide Warawords with useful information related to the work and communicate with Warawords during the course of the project for specific words, terms, jargons, style to be used in the work.
2. Term of Agreement
​
This Agreement will be effective on [Beginning Date] and will remain in full force and effect until the completion of the Services. This Agreement may be extended by mutual written agreement of the parties.
3. Termination
​
If either party seeks termination of this Agreement, the terminating party must provide a 30 day written notice to the other party.
4. Compensation
​
The Client will provide compensation for Warawords as follows for the services rendered.

5. Payment Term
​
Payment will be made within 30 days of the date of the invoice.
6. Marketing
​
The Client agrees that Warawords may show the Client’s logo and a case study of the project done for the Client on Warawords’ website for marketing purposes only.
7. Modification of Agreement
​
Any modifications or amendments to this Agreement will be binding if evidenced in writing signed by each Party.
8. Notice
​
All notices or demands required or permitted by the terms of this Agreement will be given in writing and delivered to the parties.

9. Time is of the Essence
No extension or variation of this Agreement will operate as a waiver of this provision. Time is of the essence in this Agreement.
10. Integration
This Agreement contains the entire agreement and understanding by and between the Client and Warawords and no representations, promises, agreements or understandings, written or oral, not herein contained shall be of any force or effect.
11. Choice of Law
This Agreement and the performance under this Agreement and all suits and special proceedings under this Agreement, be construed in accordance with and governed by the laws of Thailand
